A. About these Terms
A.1 Who we are
Euro Gadgets EX is a B2B wholesale electronics trading platform operated by Wholesale Gadgets EU. References in these Terms to "Euro Gadgets EX", "we", "our", or "us" refer to Wholesale Gadgets EU and the Euro Gadgets EX platform.
A.2 Your agreement to these rules
By accessing, browsing, registering for, or using the Euro Gadgets EX website, marketplace, trading tools, communication features, or related services (together, the "Platform"), you agree to be bound by these Terms of Use and any policies referred to within them. If you do not agree, you must not use the Platform.
A.3 Additional rules may apply
Certain features, products, memberships, paid services, or promotional activities may be subject to additional rules, service terms, or policies. Where those apply, they will form part of your agreement with us.
A.4 Legal and regulatory alignment
These Terms are intended to operate in line with applicable privacy, consumer, commercial, and international trading laws where relevant to the operation of the Platform.

B.1 Who these Terms apply to
These Terms apply to all visitors, members, applicants, buyers, sellers, and other users of the Platform, whether registered or unregistered.
B.2 Changes to these Terms
We may update these Terms from time to time to reflect legal, technical, commercial, or operational changes. By continuing to use the Platform after updated Terms are published, you accept the revised version.
B.3 Checking for updates
You are responsible for reviewing the current version of these Terms periodically. Where appropriate, material changes may also be highlighted on the Platform.
C. Access to the Platform
C.1 General access
Some parts of the Platform may be available free of charge, while other areas, tools, or services may require registration, membership approval, subscription, or payment.
C.2 Availability and service changes
We may modify, suspend, limit, or remove any part of the Platform, its features, or access conditions at any time, with or without notice, where reasonably necessary.
C.3 Security and misuse
You must not attempt to interfere with the Platform, bypass security controls, disrupt system integrity, test vulnerabilities without permission, or use the Platform in any way that could damage its operation or other users.
D. Ownership of the Platform and Its Materials
D.1 Platform materials
All text, layouts, visual assets, logos, branding, software, databases, page designs, graphics, videos, audio, interface elements, code, and related materials made available through the Platform (together, the "Platform Materials") are owned by, licensed to, or controlled by Euro Gadgets EX or the relevant rights holders.
D.2 Limited permission to use
We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform for legitimate business use in accordance with these Terms. This does not transfer any ownership or intellectual property rights to you.
D.3 Restricted use
Unless we give written permission, you may not copy, reproduce, scrape, republish, modify, distribute, transmit, sell, license, commercially exploit, or create derivative works from any part of the Platform or Platform Materials except for normal business use of the Platform.
D.4 No competing database or directory use
You must not systematically extract or compile listings, contact details, platform content, member information, or other Platform Materials in order to build a competing service, mailing list, dataset, marketplace, directory, or database.
D.5 No misuse of branding
You may not use the Euro Gadgets EX name, branding, logos, trade dress, domain references, marks, or similar identifiers in a way that may cause confusion, imply endorsement, damage reputation, or mislead others.
D.6 Reserved rights
All rights not expressly granted in these Terms remain reserved.
E. Content Submitted by Users and Third Parties
E.1 User and third-party content
The Platform may contain listings, offers, requests, company profiles, messages, business information, images, descriptions, pricing, contact details, and other material submitted by users or third parties ("User Content").
E.2 Responsibility for submitted content
The party submitting User Content is solely responsible for it. We do not guarantee the truth, completeness, legality, ownership, safety, or accuracy of User Content.
E.3 Our moderation rights
We may review, restrict, suspend, edit, remove, or investigate User Content or user activity where we believe it may be unlawful, misleading, abusive, fraudulent, infringing, harmful, or otherwise inconsistent with these Terms or the integrity of the Platform.
E.4 External links and third-party sites
The Platform may contain links to third-party websites, tools, services, or resources. These are provided for convenience only. We do not control those sites and are not responsible for their content, availability, products, services, or policies.
E.5 Linking to our Platform
You may not frame, misrepresent, or link to the Platform in a way that damages our brand, causes confusion, or misleads users. We reserve the right to require the removal of any link to the Platform.
F. Privacy and Data Handling
F.1 Data handling
Personal data is processed in accordance with our Privacy Policy and applicable data protection requirements.
F.2 Privacy Policy forms part of these Terms
Our Privacy Policy forms part of the overall contractual framework governing use of the Platform.
G. Registration and Member Accounts
G.1 Becoming a registered user
Certain features require account registration or membership approval. During registration or application, you may be asked to provide business and contact information, including company details and communication information.
G.2 Accuracy of account information
You confirm that all information you provide during registration, application, or account maintenance is accurate, complete, and up to date.
G.3 Approval and refusal
We may accept, reject, suspend, or revoke any registration, application, or account at our discretion where reasonably necessary to protect the Platform, other users, or our commercial and compliance standards.
G.4 Shared visibility within the Platform
Where permitted by our privacy and platform rules, certain business profile information may be visible to other users or members in accordance with the visibility settings, account level, trust status, and deal-stage logic of the Platform.
H. Account Suspension and Closure
H.1 Suspension or restriction
We may suspend, restrict, or terminate your access where we suspect breach of these Terms, fraud, misleading activity, abusive conduct, security concerns, sanctions issues, inaccurate business information, or misuse of the Platform.
H.2 Closure by the user
You may request closure of your account, subject to any ongoing contractual, payment, dispute, compliance, or recordkeeping obligations.
I. Login Details and Account Security
I.1 Your responsibility
You are responsible for keeping your login credentials confidential and secure and for all activity carried out through your account unless caused directly by our fault.
I.2 Required actions
You must notify us promptly if you suspect unauthorised access, misuse, or compromise of your account or credentials.
I.3 No transfers of credentials
You may not sell, transfer, share, lend, sublicense, or permit unauthorised use of your login credentials or member identity.
J. Communication Features
J.1 Messaging and communication tools
We may provide messaging, notification, email, inbox, or related communication tools to support business activity on the Platform.
J.2 Acceptable use
You must not use any communication feature for spam, harassment, phishing, malware, fraud, unlawful solicitation, abusive contact, or other misuse.
J.3 Limits and controls
We may apply message limits, storage limits, moderation rules, delivery restrictions, or anti-abuse controls to protect users and the Platform.
K. Marketplace Role and Trading Environment
K.1 Platform role
Euro Gadgets EX provides a digital environment where users may present products, submit buying interest, respond to opportunities, and communicate with counterparties. Unless expressly stated otherwise, we are not a party to the contract between buyer and seller.
K.2 No control over every transaction
We do not own, inspect, guarantee, certify, or control every product, listing, request, shipment, payment, export, import, or transaction on the Platform.
K.3 Due diligence remains essential
Users are solely responsible for conducting appropriate commercial, legal, financial, technical, sanctions, tax, regulatory, and counterparty due diligence before entering into any transaction.
K.4 Transaction risks
All users acknowledge that trading activity carries risk, including fraud, misrepresentation, non-payment, non-delivery, delay, defective goods, disputes, regulatory restrictions, and breach of contract. Those risks remain primarily between the trading parties.
K.5 Mediation support at our discretion
Where appropriate, we may offer limited assistance, communication support, or informal mediation in user disputes, but we are not obliged to do so and we do not assume liability for resolving disputes between trading parties.
L. Rules for Buyers
L.1 Commitment to complete legitimate transactions
If you agree to purchase goods, accept an offer, submit a binding buying commitment, or otherwise enter into a transaction through the Platform, you are expected to complete that transaction unless there is a lawful and valid reason not to do so.
L.2 Review listing terms carefully
Buyers are responsible for reviewing the product description, commercial terms, location, condition, pricing basis, delivery terms, and any stated deal conditions before proceeding.
L.3 Limited grounds for withdrawal
Withdrawal from an agreed transaction may only be justified in limited circumstances, such as material misrepresentation, unlawful sale conditions, unauthorised listing changes, or inability to verify the seller appropriately.
L.4 No undisclosed brokering misuse
Users must not misuse buyer tools to act as undisclosed intermediaries, misleading brokers, or purchasing agents in a manner prohibited by these Terms or by Platform policy.
M. Rules for Sellers
M.1 Right to sell
Sellers must ensure they are legally entitled to market, offer, export, and sell the products they list or promote on the Platform.
M.2 Accurate product descriptions
Sellers must describe products honestly, carefully, and accurately, including condition, quantity, specifications, pricing basis, and material limitations where relevant.
M.3 Compliance with applicable law
Sellers are responsible for ensuring that the sale, export, shipment, or distribution of products complies with applicable domestic and international law.
M.4 No manipulation
Sellers must not manipulate pricing, create false demand, interfere with bidding or listing activity, submit fake enquiries, or distort marketplace behaviour.
M.5 No prohibited intermediary misuse
Users must not use seller accounts to conduct disguised brokering or unauthorised agency behaviour where such conduct is prohibited by our Platform rules.
N. Fees and Paid Services
N.1 Fees may apply
Certain services, memberships, premium tools, listings, transaction-related tools, or value-added features may be subject to fees.
N.2 Fee information
Where fees apply, they will be communicated through the relevant service flow, account area, pricing information, invoice, or written commercial arrangement.
N.3 Non-payment
Failure to pay applicable fees may result in suspension, restriction, downgrade, collection action, or termination of the relevant service or account.
O. Warranties and Service Disclaimers
O.1 Platform provided as available
The Platform and all related services are provided on an "as available" and "as is" basis, except to the extent otherwise required by law.
O.2 No implied commercial guarantees
To the fullest extent permitted by law, we disclaim warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, uninterrupted availability, reliability, or non-infringement.
O.3 No guarantee of uninterrupted operation
We do not guarantee that the Platform will always be uninterrupted, secure, error-free, or free from bugs, harmful code, downtime, or third-party interruptions.
O.4 Independent judgment required
Any information, content, listing, profile, communication, or material obtained through the Platform must be assessed using your own business judgment and due diligence.
O.5 Events outside our control
We are not responsible for delays, failures, or interruptions caused by events beyond our reasonable control, including network outages, power failures, cyberattacks, force majeure events, labour disputes, governmental restrictions, or third-party service failures.
P. Indemnity
P.1 Your indemnity to us
You agree to indemnify, defend, and hold harmless Euro Gadgets EX, Wholesale Gadgets EU, and our officers, directors, employees, contractors, affiliates, and agents from claims, liabilities, losses, damages, costs, and expenses arising out of or connected with your use of the Platform, your breach of these Terms, your violation of law or third-party rights, your content, listings, transactions, or communications, or your misuse of member information or Platform tools.
P.2 Our control of defence
We may assume control of the defence or settlement of any matter subject to indemnification by you, and you agree to cooperate reasonably with us.
Q. Limitation of Liability
Q.1 Exclusion of certain losses
To the fullest extent permitted by law, Euro Gadgets EX and Wholesale Gadgets EU shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, savings, business opportunity, data, or reputation arising from or related to use of the Platform.
Q.2 Trading losses and transaction issues
We are not responsible for disputes, failed transactions, defective products, delayed delivery, payment failures, misrepresentation by users, or other transaction-related losses between users, except where liability cannot legally be excluded.
Q.3 Liability cap
To the fullest extent permitted by law, our aggregate liability in connection with the Platform shall not exceed the amount you paid to us for the specific service giving rise to the claim during the 12 months before the relevant event, unless mandatory law requires otherwise.
Q.4 Your remedy if dissatisfied
If you are dissatisfied with the Platform, your primary remedy is to stop using the relevant service or the Platform.
R. Disputes, Law, and Jurisdiction
R.1 Governing law
These Terms shall be governed by and interpreted in accordance with the laws applicable in Estonia, unless mandatory law requires otherwise.
R.2 Court jurisdiction
Subject to any mandatory rights under applicable law, disputes relating to these Terms or the Platform shall be subject to the jurisdiction of the competent courts of Estonia.
R.3 User-to-user disputes
Where a dispute arises between users, the parties should first attempt to resolve the issue directly and in good faith. They may also choose mediation or another alternative dispute resolution method if appropriate.
R.4 Compliance with applicable law
You are responsible for complying with all laws and regulations that apply to your use of the Platform and to any transaction you enter into, including cross-border trade, sanctions, export controls, tax, import, customs, privacy, anti-bribery, and commercial laws.
S. Notices and Communications
S.1 Formal notices
Formal notices should be given in writing using the contact details provided by the relevant party or through other channels we approve for legal or account communications.
S.2 Electronic communication
Where permitted, we may provide notices electronically through email, account notices, or other digital communication methods.
T. General Legal Provisions
T.1 Entire agreement
These Terms, together with any incorporated policies and service-specific terms, form the full agreement between you and Euro Gadgets EX regarding use of the Platform.
T.2 Independent relationship
Nothing in these Terms creates a partnership, joint venture, employment relationship, franchise, fiduciary arrangement, or agency relationship between you and us unless expressly agreed in writing.
T.3 Severability
If any part of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force to the extent legally possible.
T.4 Headings
Headings are for convenience only and do not affect interpretation.
T.5 Waiver
Any failure or delay by us in enforcing a right under these Terms does not amount to a waiver of that right.
T.6 Assignment
We may assign, transfer, subcontract, or delegate our rights or obligations under these Terms where reasonably necessary as part of the operation, restructuring, or transfer of the Platform or our business.
